The client remains responsible for approved costs and work completed before cancellation or suspension.
Changes to Project Scope
Requests that change the agreed scope, deliverables, timeline, or level of work may affect the project fee and completion date.
We will discuss significant changes with the client before proceeding. Additional work will not be considered part of the original scope unless confirmed in writing.
Events and Third-Party Suppliers
For events, activations, and productions, Prime Edge Marketing may work with venues, suppliers, contractors, entertainers, technical teams, transport providers, and other third parties.
Third-party services may be affected by availability, pricing, weather, delays, technical problems, venue restrictions, government requirements, or circumstances outside our reasonable control.
We will make reasonable efforts to coordinate approved suppliers and deliver the agreed event requirements. However, we are not responsible for independent acts, omissions, delays, or failures of third-party suppliers beyond our control.
Cancellation and Termination
Either party may request the cancellation or termination of a project in accordance with the relevant proposal or agreement.
If a project is cancelled:
- Work already completed may remain payable
- Approved third-party costs may remain payable
- Deposits may be treated according to the project agreement
- Materials and deliverables may not be released until outstanding amounts are paid
We may suspend or terminate services if invoices remain unpaid, the client breaches the agreement, or continuing the project would be unlawful or commercially impractical.
Intellectual Property
Unless otherwise agreed in writing:
- Prime Edge Marketing retains ownership of its pre-existing methods, templates, processes, systems, and materials
- Third-party images, fonts, music, software, and other assets remain subject to their respective licenses
- Unused concepts, drafts, proposals, and rejected creative work remain our property
- Final approved deliverables may be transferred or licensed to the client after full payment
- The client may only use deliverables according to the rights specified in the project agreement
The client confirms that it has the right to provide any logos, images, text, data, music, or other material supplied to us.
Portfolio and Publicity
With the client’s permission, Prime Edge Marketing may display completed work, project descriptions, or approved client logos in our portfolio, website, presentations, or marketing materials.
We will not publicly disclose confidential information without appropriate permission.
Confidentiality
Each party agrees to protect confidential information received from the other party and to use it only for the agreed business purpose.
Confidential information does not include information that:
- Is already publicly available
- Was lawfully known before disclosure
- Becomes public without a breach of these Terms
- Must be disclosed by law or a legal authority
